1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TesterPayKit ("Company," "we," "us," or "our") governing your access to and use of the TesterPayKit platform, including our website, mobile applications, APIs, and all related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Definitions

• "Client" or "Developer" means any individual or entity that uses our Services to request testing of their applications
• "Tester" means any individual who participates in testing campaigns through our platform
• "Campaign" means a testing project created by a Client
• "Bug Report" means a documented issue submitted by a Tester during a Campaign
• "Reward" means the compensation paid to Testers for valid Bug Reports or completed testing tasks
• "Content" means any data, text, images, videos, or other materials submitted through the Services

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• For Testers: have access to the devices required for testing
• For Clients: have the authority to bind your organization to these Terms

4. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Not share your account with others or allow unauthorized access
• Immediately notify us of any unauthorized use of your account

You are solely responsible for all activities that occur under your account.

5. Terms for Clients

5.1 Campaign Creation

Clients may create testing campaigns by providing:

• Clear testing objectives and requirements
• Access to the application(s) to be tested
• Sufficient credits or payment for tester rewards
• Required device and platform specifications

5.2 Payment and Credits

Clients must maintain sufficient credits to fund active campaigns. Credits are:

• Purchased in advance via our pricing plans
• Non-refundable except as required by law
• Valid for 12 months from purchase date
• Deducted upon approval of valid bug reports

5.3 Bug Report Review

Clients are responsible for reviewing and triaging bug reports within 7 days. Unreview reports may be automatically approved based on quality scores.

5.4 Application Requirements

Clients warrant that their applications:

• Do not contain malware or malicious code
• Comply with applicable laws and regulations
• Do not violate third-party intellectual property rights
• Include appropriate privacy disclosures for testers

6. Terms for Testers

6.1 Participation

Testers may participate in campaigns based on their device inventory and qualifications. Participation is voluntary and subject to campaign availability.

6.2 Bug Reporting

Testers agree to submit bug reports that are:

• Accurate, complete, and reproducible
• Written in clear, professional language
• Unique and not duplicates of existing reports
• Compliant with campaign-specific guidelines

6.3 Rewards and Payments

Rewards are paid for approved bug reports according to the following:

• Reward amounts are determined by bug severity and campaign settings
• Payments are processed weekly for balances above the minimum threshold
• Testers are responsible for applicable taxes on their earnings
• We reserve the right to withhold payment for fraudulent activity

6.4 Confidentiality

Testers must maintain confidentiality of:

• Applications under NDA campaigns
• Unreleased features and functionality
• Security vulnerabilities until publicly disclosed
• Client business information

7. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent bug reports
• Create duplicate or "fake" bugs to earn rewards
• Use automated tools to generate bug reports
• Access or test applications without authorization
• Reverse engineer, decompile, or disassemble any software
• Harass, abuse, or harm other users
• Violate any applicable laws or regulations
• Circumvent or manipulate our rating or reward systems
• Create multiple accounts to abuse promotional offers
• Share confidential testing materials without authorization

8. Intellectual Property

8.1 TesterPayKit IP

The Services, including all software, designs, logos, and content created by TesterPayKit, are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8.2 Client Content

Clients retain ownership of their applications and related materials. By using our Services, Clients grant us a limited license to distribute their applications to Testers for testing purposes.

8.3 Bug Reports

Upon submission and approval, bug reports become the property of the respective Client. Testers retain the right to include anonymized descriptions of their work in portfolios.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted or error-free
• All bugs will be found during testing campaigns
• Bug reports will be accurate or complete
• The Services will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TESTERPAYKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless TesterPayKit and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit through the Services

12. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or suspicious activity
• Extended periods of inactivity
• Legal or regulatory requirements

You may terminate your account at any time by contacting support. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will remain in effect.

13. Governing Law and Disputes

These Terms shall be governed by the laws of Germany, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation by a mutually agreed mediator
3. Binding arbitration or litigation in Hamburg, Germany

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use after such modifications constitutes acceptance of the updated Terms.
